It's all about trying to get jurisdiction and their claim is based on the idea the $52mil figure was arrived at *after* they said they were leaving.

Fee to leave is $10mil.
"I'm leaving."
*votes to raise the fee to $50mil and expects prompt payment*
No one wants this stuff to get to court; the documents would be damning to so many entities about how on one hand, conferences are saying leaving is materially harming them, while also showing they are trying to steal other teams from other conferences.
The countersuit is as much about playing hardball and trying to get a different venue on the docket.
