Work advice needed.....how do people deal with negative co-workers.....details inside....

I started here March 02. We are a small not-for-profit. Theres only two of us here on a regular basis in our office. My co-worker has close to 30 years experience in the industry and is really good at her main responsibilities. However because of her years of experiences, shes got some very specific opinions. I appreciate some of her opinions but for this organization to continue, we need to make some major changes. Its going to be hard to make some of these changes if shes going to second guess anything that I do. Shes constantly complaining about the direction of our Board of Directors and other staff or policies and while some of her comments are valid, they are never ending.

Any thoughts or suggestions would be welcome.
