One of the key issues was whether an official Board meeting can be properly adjourned -- not just recessed, but adjourned -- if the chair angrily announces "This meeting is over!", bangs the gavel, and storms out of the room followed by half the other board members.
Does the meeting formally continue with only half the board members and no chair or facilitator?
