No quorum was present. Quorum was a majority, and only half the directors were present.

Bylaws are silent on the question of whether a vote is required.
But -- and this is very important -- the corporation's bylaws incorporate Roberts' Rules of Order by reference. The bylaws literally state that any question of parliamentary procedure will be governed by RONR.
So, we had to revert to an RONR/parliamentary analysis.
