It’s arguable that this isn’t a reason to back out for the penalty.

He agreed to buy the asset. He waived the right to get exploratory data. He is now backing out for them not giving him exploratory data.
The 1b back-out is if there’s a reason it can’t go forward like regulatory issues or an actual fraud in the numbers, not a realization he overpaid.
He waived his ability to examine their data.
Them not giving him data isn’t fraud. It’s bad business on his part. They could sue to enforce the deal or the damages his tweets and filings have caused since he’s not acting in good faith.
