A little help here if you don't mind.

I am editing a contract. I need to add some line that say:
The person signing the contract (the customer) is authorized to sign the contract and is entering their company into the agreement. And also that there are no other outstanding agreements between the customer's company and some 3rd party provider that can prevent this agreement from being valid.

(I am writing on behalf of the provider)

Do you have a fancy way of saying that? Thanks :)
